1 Our contract
These terms and conditions relate to the supply of goods sold by Valentine Furniture Co Ltd, company reg: 4432270, main trading address Bar Farm, York Road, Barmby Moor YO42 4HS and referred to as 'we' and 'us', to the customer named on Valentine Furniture order and sales forms and referred to hereinafter as 'you'. Together with the completed order or sale form, these terms and conditions constitute the entire and only agreement between you and us in relation thereto.

2 Price and payment
2.1 The price payable by you for the goods you order, together with charges for carriage and insurance, is set out on the sales/order form
2.2 Our acceptance of your order, unless we have agreed otherwise in advance in writing, is consequent upon receipt by us of the deposit set out on the sales/order form.

3 Delivery and title
Unless you tell us that you will collect the goods, we will deliver them in accordance with your order. Your signature, valid in this context, will be required on collection or delivery. Title to the goods passes to you immediately prior to their despatch to you from our premises. If you have not received all the goods within 14 days of the agreed date of delivery, you should notify us.

4 Availability
If we have, at the agreed date of delivery, insufficient stock to supply or deliver goods for which we have accepted your deposit then we will refund any payment made by you within 14 days of the failed delivery date, or we may, at our discretion, offer to supply an equivalent product.

5 Cancellation and returns
5.1 You may cancel your order by giving us notice within 7 days of the date on the sales/order form, by post, email or fax to the numbers or address on the form. Return of your deposit will be at our discretion.
5.2 If delivered goods are faulty or incorrect, you must notify us within 2 days of their delivery.

6 Liability
If you have notified us of a problem according clause 5, then we will make good any short or non-delivery, or replace or repair any damaged goods damaged on delivery, or refund your payment for the goods in question. We will not be liable to you for any inconvenience, disappointment, indirect or consequential loss or damage arising from any problem in relation to the goods and we shall have no liability to pay you money by way of compensation beyond the refunded cost of the goods. This does not affect your statutory rights nor do we mean to exclude our liability to you for fraudulent misrepresentation or for death or personal injury resulting from our negligence.

7 Force majeure
We shall have no liability to you for any failure or delay, damage or defect caused by any event reasonably beyond our control.

8 Severability
If any part of these conditions is invalid, illegal or unenforceable, (including any provision in which we exclude our liability to you) the validity, legality or enforceability of any other part of these conditions will not be affected.

9 VAT
All prices include VAT at 17.5%, subject to changes in taxation, unless specifically described as excluding VAT.

10 Nature of wood
Our furniture is made of wood, a natural product with inherent blemishes, variations and inconsistencies in surface appearance and texture and in finished colour and appearance. This qualification is implicit in any description of goods offered for sale by us. Additionally, furniture made from re-claimed timber will exhibit flaws and blemishes resulting from previous use of the timber. These are characteristic of such furniture and implicit in the description 're-claimed timber'.
